[Industrial][DRAM] TMC Incorporated! IDB: No Operational Plan Received Yet (Chinese Version)

cnYes.com (2009/08/04) Taiwan Memory Company (TMC) was incorporated on 31st-Jul., but the officials of Industrial Development Bureau ( IDB ) said on 4th-Aug. that until then no operational plans had been received yet. Ministry of Economic Affairs passed “Proposal for the Reformation of Taiwan's DRAM Industry” on 21st-Jul., offering a state investment package for the company that fit the standards, but no company applied for the investment yet, according to the IDB officials.

According to the data of Department of Commerce, Ministry of Economic Affairs, TMC has submitted the registration document for incorporation and got approved on 31st-Jul., with the authorized capital of fifty thousand shares and the paid-in capital of five hundred thousand NT dollars. The business scope covers electronic parts and components manufacturing, product design industry, international trade and the other legal items exclusive of the licensed business.

TMC directorate is constituted of three directors and one supervisor. The chairman is John HSUAN, the other directors include present Investment Advisor of Compal Ke-Wen TENG (鄧克文) and present Honorary Advisor of UMC (2303-TW) Tai Sheng FENG, and Eric CHEN (陳進雙), the Financial Officer of Silicon Integrated Systems Co. acts as TMC's Supervisor. John HSUAN holds 98% shares, 49 thousand shares, while Ke-Wen TENG holds 1000 shares. The other two do not hold any shares.

TMC is expected to submit the operational plan to Ministry of Economic Affairs as soon as it is incorporated, but the IDB officials says they do not receive TMC's plan, nor any plans from other companies including the attention-drawing PSC (5387-TW), Nanya Tech (2408-TW) and Inotera Memories (3474-TW).

It is known that the initial capital scale of TMC is determined about 18 to 20 billion NT dollars, 11 billions of which will get paid-in this year. Over half of the total capital is for the 9.5 % shares of Elpida (6665-JP). Informed sources believe TMC may ask for nine billion NT dollars of the state investment from the National Development Fund.

According to Executive Yuan's approved and announced “Proposal for the Reformation of Taiwan's DRAM Industry,” DRAM companies in Taiwan, including the newly-incorporated TMC, which meet the criteria of (1) IP authorization and free use permission, (2) R&D in Taiwan, (3) joint development and (4) talent plan and industrial integration, can submit the operational plans to IDB and apply for the state investment by 21st-Oct.
